Token offerings in Liechtenstein with a licensed partner
The FMA is the competent authority for crypto-asset offers under MiCAR in Liechtenstein. Token work sits inside our financial services license Liechtenstein files: we collect your token facts and documents and coordinate. A licensed Liechtenstein trustee or lawyer, named in your engagement letter, classifies the token, drafts the document and files.
Classifying a token and drafting its document are reserved advice under the Trustee Act (TrHG) and the Lawyers Act (RAG). An offer made without meeting the rules is a criminal offence, and liability to buyers for wrong Basisinformationen cannot be excluded in advance.
What is included

Token fact intake
We collect what the token is, the rights it carries, who may acquire it and the planned size. The licensed adviser classifies it.
White paper under MiCAR
For an other crypto-asset, the licensed partner drafts the white paper and transmits it to the FMA. The issuer answers for it; we coordinate.
TVTG Basisinformationen
For a token outside MiCAR: the Basisinformationen and the notification of the issuance to the FMA, prepared by the licensed partner.
ART application
For a credit institution or an issuer seeking an Art. 21 authorisation: the partner prepares, the issuer applies. We do not offer the EMT path.
The issuing entity
If you want a Liechtenstein issuer, a licensed trustee forms it and files; we prepare the draft. See how the purchase of a ready-made Liechtenstein company is closed.
After the issue
Supplements, disclosure and, for a registered issuer or an authorised ART issuer, the annual FMA levy, coordinated by us. Trading or custody for others is a separate route: our CASP licensing service.
Which regime applies to which token
The table sets criteria only; the licensed adviser decides which class your token is.
Token classes and the regime that applies in Liechtenstein, criteria only
| token kind | regime and document | who may offer |
|---|---|---|
| Other crypto-asset (neither ART nor EMT) | MiCAR; crypto-asset white paper | Without authorisation, if MiCAR Art. 4 and the following articles are met |
| Asset-referenced token (ART) | MiCAR; Art. 21 authorisation and white paper | A licensed credit institution or an Art. 21 authorisation holder |
| E-money token (EMT) | MiCAR, Art. 48; we do not offer this path | As the EMT rules provide |
| Token outside MiCAR | TVTG; Basisinformationen and notification to the FMA | An issuer in its own name (no registration) or a registered issuer acting for a client |
| MiFID II financial instrument | Outside MiCAR; settled first; no prospectus route stated here | As the securities rules provide, confirmed by a licensed lawyer |

Collect the token facts
What the token is, which rights it carries, who may acquire it and the planned size. You supply them; we collect and check.
Classify the token
The licensed trustee or lawyer settles first whether it is a MiFID II instrument, then ART, EMT, other crypto-asset or outside MiCAR.
Settle the route
MiCAR white paper, TVTG Basisinformationen, or the ART path reserved to a credit institution or Art. 21 holder. You decide with the adviser.
Prepare the document
VT system, risk notes, the responsible persons and their declaration; the Basisinformationen in German or English. The partner drafts; we coordinate.
Register where needed
An issuer acting for a client registers; one issuing in its own name does not. The FMA decides a complete registration within three months.
Transmit or notify
The white paper is transmitted to the FMA; or the Basisinformationen are published and the issuance notified to the FMA, through the licensed partner.
After the issue
Keep the document disclosed. A registered issuer and an authorised ART issuer pay an annual FMA levy (FMAG Annex 2); a registered issuer also discloses for at least ten years after the issue.
Have a token plan ready for a licensed adviser?
Send us the token description. A person in our Legal department replies and sets up the file.
Documents and official FMA fees
- A plain description: what the token represents, its rights, buyers, total value
- The issuer's identity, corporate documents and beneficial owners
- Who answers for the token's technical and legal functionality
- The VT system the token uses
- For rights in things: proof of ownership, for example via a physical validator
- The responsible persons' declaration that the information is correct
The FMA's own fees, from its fee schedule. Our fee and the licensed partner's are on request.

Problems we solve
"Small offers need nothing"
For fewer than 150 users or a total sale price up to CHF 5 million, only Art. 30 lit. a and b fall away. The notification to the FMA stays.
"I must register and hold CHF 50 000"
Not when issuing in your own name: no registration, but Art. 30 to 38 apply. Registration and capital concern issuers acting for a client.
"We want a stablecoin"
An ART is reserved to a licensed credit institution or an Art. 21 holder, so a start-up cannot simply issue one.
"Issuing lets us trade it"
It does not. Trading, exchange and custody are crypto-asset services on the CASP route, with their own authorisation.
"Can VCS do it alone?"
No. Classification and drafting are reserved advice. We coordinate; the licensed trustee or lawyer advises and files.
Is your token description ready to hand over?
We check it is complete before the licensed adviser classifies the token.
Who prepares your token file
From our practice
Katrin collects the token description and the issuer's documents, checks the file is complete and hands it to the licensed trustee or lawyer, who classifies the token and prepares what is filed. Katrin keeps the list of what is missing and the dates.

Frequently asked questions about token issuance in Liechtenstein
Do I need a licence to issue a token in Liechtenstein?
It depends on the token. An asset-referenced token (ART) may be offered only by a licensed credit institution or a holder of an Art. 21 authorisation. Other crypto-assets may be offered without authorisation if MiCAR Art. 4 and the following articles are met. A token outside MiCAR follows the TVTG. The licensed adviser settles which case applies.
Is a white paper approved by the FMA, or only notified?
The FMA fee schedule lists CHF 500 for transmitting a white paper and CHF 20 000 for approving or refusing one with the Art. 17 examination, an item in the ART chapter. How the FMA handles the white paper of an other crypto-asset in practice is not in our sources, so we promise no review and no approval.
Is it true that small offers (under 150 people or CHF 5 million) need nothing at all?
No. Where, for example, an offer is addressed to fewer than 150 users or the total sale price is up to CHF 5 million, only the TVTG Art. 30 lit. a and b duties fall away. The notification of the issuance to the FMA is not stated to be exempt, and a breach is fined up to CHF 100 000.
Can I issue a token in my own name without registering with the FMA?
Under the TVTG, an issuer offering tokens in its own name is not subject to registration, but must still follow Art. 30 to 38. Registration concerns persons seated in Liechtenstein who provide TT services professionally, such as an issuer acting for a client. The FMA decides a complete registration application within three months.
What happens if I offer a token to the public without a white paper?
Offering other crypto-assets publicly without meeting MiCAR Art. 4(1) or 5(1) is a criminal offence, up to three years' imprisonment before the Landgericht; likewise ART offers without Art. 16(1) or 17(1), EMT offers without Art. 48(1). The FMA also fines white-paper breaches, up to CHF 1 000 000 for legal persons, more in serious, repeated or systematic cases (EWR-MiCA-DG Art. 31).
What is the difference between the MiCA white paper and the TVTG Basisinformationen?
They are different documents for different tokens: the MiCAR white paper for crypto-assets inside MiCAR, the TVTG Basisinformationen for tokens outside it. The Basisinformationen name the VT system used, carry risk notes and name those responsible for the content and for the token's technical and legal functionality.
Which tokens still fall under the TVTG after MiCA?
Tokens outside MiCAR. The TVTG defines a token issuance only for tokens MiCAR does not cover, and the two regimes have had mutually exclusive scopes since 1 February 2025. The MiCAR transition ended on 1 July 2026, and TVTG registrations for activities that need a MiCAR authorisation expired on 2 July 2026.
Can an NFT be issued under the TVTG?
The FMA states that non-fungible tokens, which MiCAR Art. 2(3) excludes, could fall within the TVTG. Whether a given NFT does depends on its facts, which the licensed adviser reads for your specific token. This page names no NFT category and gives no verdict on yours.
Who can offer an asset-referenced token or an e-money token?
An ART may be offered only by a licensed credit institution or a holder of a MiCAR Art. 21 authorisation; the FMA fee for that authorisation is CHF 30 000. The EMT offer rules sit in MiCAR Art. 48(1), and we do not offer that path. A start-up cannot simply issue a stablecoin-type token.
Who is liable to buyers for errors in the white paper or Basisinformationen?
For wrong or missing Basisinformationen, liability cannot be excluded or limited in advance, and acquirer claims against an issuer seated in Liechtenstein go to the Landgericht. The document carries the declaration of those responsible for its content that, to their knowledge, the information is correct and nothing material is left out.
Is a security token or tokenised share an ICO or a prospectus case?
The MiFID II question is settled first: a crypto-asset that qualifies as a MiFID II financial instrument is outside MiCAR. This page names no prospectus route and no thresholds for such a token. A licensed Liechtenstein lawyer, named in your engagement letter, confirms which securities rules apply to your tokenised share.
Does issuing a token also allow me to trade or custody it?
No. Issuing a token is not custody, trading or exchange; those are crypto-asset services with their own authorisation, the CASP route. Providing them without the needed authorisation is a criminal offence. If your token will be traded or held for others, our CASP licence page sets out that route.
In which language must the white paper or the Basisinformationen be written?
The TVTG Basisinformationen must be prepared and published in German or English. A language rule for the MiCAR white paper is not set out in our sources, so this page states none. The licensed partner confirms it for your offer before the document is drafted.
Do I need a Liechtenstein company to be the issuer?
No seat requirement for a MiCAR issuer is stated in our sources. TVTG registration applies to persons seated or resident in Liechtenstein who provide TT services professionally. If you want a Liechtenstein issuing entity, a licensed trustee forms it and files; the ready-made company and legal-form pages cover the options.
How long do I have to keep the document disclosed?
A registered token issuer keeps the Basisinformationen disclosed during the issue and for at least ten years afterwards. Whether the same duty binds an issuer offering in its own name is not stated in our sources, so this page claims none. The Basisinformationen must also be protected against change.
