Liechtenstein Holding Company (AG, GmbH or Anstalt)
A holding is a role of an AG, GmbH or Anstalt. We prepare the file; a licensed trustee forms and files it.
- 12.5 % income tax
- Exemption with limits
- CHF 1,800 minimum tax
- Licensed trustee files

What we do on a Liechtenstein holding
In Liechtenstein law a holding is a role, not a legal form: an AG, GmbH or Anstalt that holds participations (PGR Art. 107). We are the office that prepares a new Liechtenstein entity from the articles to the register entry; a licensed trustee, named in your engagement letter, forms the company and files (Trustee Act, Art. 2).
We give no tax opinion, hold no board seat and promise no tax result. If you would rather buy a registered Liechtenstein company ready to be taken over, start there.

What is included
Structure memo
You give us the participations, countries, owners and where the board sits; the licensed trustee draws the tax conclusions.
Choice of carrier
We compare the AG, GmbH and Anstalt by statutory criteria. You decide with the licensed partner.
Formation
We collect the documents and prepare the draft; a licensed trustee forms the company and files it.
Board and Repräsentant
A licensed trustee or Art. 180a licence holder supplies the qualified board member; the Repräsentant is arranged.
Participations
Participations acquired or contributed: we coordinate the documents and keep the transfer papers on file.
Tax representation
Written power of attorney, an optional ruling request, private-asset-structure status where it fits. See tax planning for a Liechtenstein company or foundation.
Ongoing file
Beneficial-owner report, annual accounts and tax return; bookkeeping by a licensed trustee or a trade-licence bookkeeper.
Where our work stops
We file nothing and promise no tax result, bank account, ruling or mandate. A group's brand is separate: trademark registration Liechtenstein.

When a holding comes into question
Criteria from the statute, not a recommendation; the choice is made with the licensed partner.
Capital level
The minimum capital is CHF 50,000 for an AG, CHF 10,000 for a GmbH and CHF 30,000 for an Anstalt.
Accounts
An AG or GmbH holding keeps full annual accounts; an Anstalt without a commercial business keeps records proportionate to its assets.
Formation instrument
A public deed for an AG and a GmbH; for an Anstalt, written statutes signed by all founders and no public deed.
The Anstalt as holding
It exists only from the register entry. The holder of the founder's rights forms the supreme body; the rights pass by transfer or inheritance, never by pledge.
How the work runs
No statute sets this order or a day count, and no official processing time is published.
Purpose and structure memo
You supply the participations, countries, owners and the place of decision; we collect them, and the licensed trustee draws the tax conclusions.
Form comparison
We prepare the comparison of AG, GmbH and Anstalt; you decide with the licensed partner.
Formation and register entry
The licensed trustee forms and files: a public deed for an AG or GmbH, written statutes for an Anstalt. Entries are in German.
Board and Repräsentant
The qualified board member and the Repräsentant are arranged through the licensed trustee.
Participations
You and your foreign counsel handle the target side; the licensed trustee handles the Liechtenstein side.
Tax representation
The licensed trustee represents the company under a written power of attorney; a ruling request is optional, and private-asset-structure conditions are confirmed by the taxpayer.
Ongoing
Beneficial-owner report, accounts within six months of the year end, tax return documents in German.

Problems we solve
The "tax-free" claim
The exemption has limits: a deductible payer at a 25 % stake, passive income over 50 %, the burden of proof. A CHF 1,800 minimum tax applies too.
Substance and the board
The statute tests the seat or place of effective management; we found no further criteria and promise nothing. Most entities need a licensed trustee on the board.
Home country and treaties
Your home state may still tax. The Tax Administration overview lists 32 agreements, 26 in force by our count (state 21 October 2026). Your own advisers decide the home view.
The UBO register after the cyberattack
The 30-day report follows the register entry. Since 30 July 2026 access is limited, identification is in person in Vaduz, and deadlines that cannot be met are suspended.
Your holding starts with a plan
We set out the carrier questions, the mandates and the papers before anyone signs.
Why work with us
From our practice
Elias builds the structure memo, keeps the file in German, English or French and coordinates the licensed trustee, the notary and the Office of Justice. The trustee performs every reserved act.

Frequently asked questions about a Liechtenstein holding company
Is a Liechtenstein holding tax-free on dividends and share sales, and what are the exceptions?
Dividends from participations and gains on their sale or liquidation are not part of taxable net income under SteG Art. 48. The limits: a deductible payer at a stake of 25 % or more, a foreign payer both passive and lightly taxed, and the burden of proof on the taxpayer. A minimum tax still applies.
Will my home tax authority still tax the holding or me?
It may. The Liechtenstein exemption binds only Liechtenstein, whose statute looks at the seat or the place of effective management. Your home state applies its own law, which this page does not state, so take the view of your own foreign advisers first. We promise no outcome abroad and no treaty benefit.
How much substance does the holding need, and can the board member be a nominee?
The statute names the seat or the place of effective management, and we found no published criteria beyond that, so we promise nothing about substance. Most entities need a licensed trustee or Art. 180a licence holder on the board. What that mandate does for substance is not something we assert.
Which form can carry a holding: AG, GmbH or Anstalt?
The law treats holding as a role of the entity, so an AG, GmbH or Anstalt can carry it. We give criteria, not a verdict: minimum capital of CHF 50,000, CHF 10,000 and CHF 30,000, the accounts duty and the formation instrument. You decide with the licensed partner.
What is the difference between a holding company and a private asset structure (PVS)?
A PVS carries on no economic activity and may hold participations only if neither it nor its owners exert actual control, so a control holding is not a PVS. A PVS pays only the minimum tax. The taxpayer confirms the conditions on application and every year, and the Tax Administration decides.
Is there a withholding tax on dividends paid out of Liechtenstein?
We found no chapter on withholding tax on outbound dividends in the Tax Act text read for this page, so we do not say there is none. The source deductions the Act shows are on employment income and board fees. The Tax Administration publishes the maximum source-tax rates other states may levy.
How many double-tax treaties does Liechtenstein have, and does that matter for a holding?
The Tax Administration overview, state 21 October 2026, lists 32 agreements, 26 of them in force by our count. Where a treaty applies, Liechtenstein gives relief, but a credit for foreign tax is capped at the Liechtenstein tax, so exempt dividends leave nothing to credit.
What minimum tax does a holding with no income pay each year?
The minimum income tax is CHF 1,800 a year, credited against the income tax. It is not levied on an entity run exclusively as a commercial business with an average balance-sheet total of at most CHF 500,000 over three years. A holding is by default not commercially run, so it normally pays.
Do I need a local director and a representative in Vaduz?
Usually yes. At least one member authorised to manage and represent is an EEA national, a person treated as equal or a legal person, with a Trustee Act or equal Art. 180a licence; some entities are exempt. The Repräsentant is an EEA national resident in Liechtenstein, arranged through the licensed trustee.
Does the global minimum tax (Pillar Two) apply to my holding?
Only if your holding is a Liechtenstein unit of a group whose ultimate parent reports annual revenue of at least EUR 750 million in at least two of the four preceding years, under GloBE Act Art. 4(1). A top-up tax at a minimum rate of 15 % then applies. The Act has been in force since 1 January 2024.
Can I buy a ready-made company and use it as a holding?
Possibly. A buyer inherits the company's history: the old coupon-tax rules still apply to reserves that existed on 1 January 2011. It still needs a qualified board member and Repräsentant, and changes in beneficial owners are reported within 30 days of knowledge; since the 30 July 2026 cyberattack register access is limited, and deadlines that cannot be met are suspended.
What accounts and filings does a holding have to keep each year?
An AG or GmbH keeps full annual accounts even without a commercial business, prepared within six months of the year end. An Anstalt without a commercial business keeps records proportionate to its assets. Tax return documents are in German, and bookkeeping and tax advice for others are reserved activities.
What must be reported to the UBO register, and what is its state after the 2026 cyberattack?
The report is due within 30 days of the register entry, and changes within 30 days of knowledge. Since the 30 July 2026 cyberattack access is limited, identification is in person in Vaduz from 5 October 2026, and deadlines that cannot be met are suspended, with no end date published.
Who forms the company and sits on the board: VCS or a licensed trustee?
A licensed Liechtenstein trustee, named in your engagement letter, forms the company, files at the register and holds any Art. 180a mandate. These are reserved activities, and exercising them without a licence is an offence. VCS prepares the documents and coordinates the file; it holds no board seat and files nothing.
When does an Anstalt used as a holding exist in law, and how is its capital paid in?
It acquires legal personality only with the register entry. On capital, two rules stand side by side: PGR Art. 122(2) and the Office of Justice Merkblatt say in full, while Art. 537(2) no. 2 has the deed declare it paid in at least by half. Confirm the rule with the licensed trustee.
