Investment Fund Structuring in Liechtenstein
Fund setup in Liechtenstein, with the regime questions, the route and the documents in order for the FMA.
- Three regimes: UCITS, AIF, IUG
- Statutory periods and capital shown
- Official FMA fees shown
- No authorisation promised

Three fund regimes, one file in order
We work with sponsors who want a UCITS, an AIF run by an AIFM, or an Investmentunternehmen under the IUG. We collect the documents and coordinate the application; the management company or AIFM submits it to the FMA. The work sits inside our financial licensing service.
Who acts: a licensed Liechtenstein trustee or lawyer, named in your engagement letter, gives the regulatory advice. Advice of this kind is reserved by the Trustee Act (TrHG) and the Lawyers Act (RAG). Operating without FMA authorisation is a criminal offence.
What's included

Regime question list
The investor, asset and structure questions the licensed partner needs answered, including the qualified-investor test for an Investmentunternehmen.
Route choice
An existing licensed management company, or one of your own, formed by the licensed trustee (for an IUG management company: an AG, an Anstalt or an SE, IUG Art. 23(1)(b)). For the AG route, see forming an AG with a resident board member.
Application file
Documents collected and ordered for the management company or AIFM to submit. The FMA authorises, enters in its register or certifies.
Depositary and auditor
Introductions and coordination: one depositary for a UCITS, a Liechtenstein depositary for a domestic AIF, the auditor's confirmations for an IUG vehicle.
Where VCS stops
No investment advice, no distribution of units, no depositary or administration service, no promised authorisation or date. Tax sits with tax planning for a Liechtenstein company or foundation.
Which regime fits your fund
Three acts, three routes. The licensed partner makes the choice; these are the criteria.
UCITS
The FMA authorises the UCITS and, separately, its management company. A self-managed Investmentgesellschaft acts through its own organs instead.
AIF through an AIFM
The FMA authorises the AIFM, not the fund; the AIF is entered in the FMA's public register. The AIFM keeps its head office and seat in Liechtenstein.
Investmentunternehmen (IUG)
Neither a UCITS nor an AIF, and open to qualified investors only. The FMA issues a certificate instead of a product authorisation.
Not a fund? A payment business follows what a payment institution licence in Liechtenstein requires in capital and governance. A token project follows how a token offering is structured and registered in Liechtenstein.
How the process works

Describe the project
You set out the investors, the assets and whether the vehicle is for qualified investors only. We collect the facts; we do not choose the regime.
Regime and structure decision
The licensed trustee or lawyer named in your engagement letter decides which regime and legal form fit.
Route
Use an existing licensed management company, or found your own, formed by the licensed trustee. Where an applicant entity is needed, the licensed partner can say whether an existing entity bought instead of formed meets the legal form and capital rules of the chosen regime (for example IUG Art. 23(1)(b) and 24).
Appoint the depositary
One depositary for a UCITS, a depositary in Liechtenstein for a domestic AIF, the IUG rules for an Investmentunternehmen. We coordinate.
Assemble and submit the application
We assemble the documents; the management company, self-managed company or AIFM submits them, prepared with the licensed partner.
FMA review
The FMA decides within the statutory periods in the table below. They run from complete documents (for an IUG management company, the three months run from the completeness confirmation). For a UCITS authorisation and an IUG management company they stand still while the FMA waits for documents it has requested (UCITSG Art. 10(4); IUG Art. 23(7)). Extension is possible where investor protection or the public interest requires it (UCITS management company, Art. 16(5); AIFM, Art. 31(6)); for the UCITS authorisation itself both must apply (Art. 10(5)); under the IUG, in special circumstances.
Authorisation, register entry or certificate
The UCITS is authorised, the AIFM is authorised and the AIF registered, or the IUG vehicle is certified. Business starts only then.
EEA marketing
An AIFM authorisation is valid in all EEA states. A Liechtenstein UCITS that intends to market units elsewhere in the EEA notifies the FMA in advance.

What you need to supply
- Investor profile, including qualified-investor status for an IUG vehicle
- Your choice of management company, or the data to found one
- The depositary you intend to appoint
- Identity and AML documents for the licensed partner
- A contact for the auditor
The licensed partner sets the detailed document list for your regime.

Liechtenstein requirements by regime
The periods are statutory deadlines that run from complete documents and can stand still or be extended (see step 6); the capital figures are minimums.
Regimes compared
Decision periods and minimum capital by regime, as the UCITSG, AIFMG and IUG set them
| regime | decision period | minimum capital |
|---|---|---|
| UCITS | 10 working days after complete documents; one month for the first authorisation of a self-managed Investmentgesellschaft; extendable to two months, six for that first case | Management company EUR 125 000; self-managed Investmentgesellschaft EUR 300 000 |
| UCITS management company | One month after complete documents; extendable to at most six months | EUR 125 000 |
| AIFM (for an AIF) | Acknowledgement within 10 working days; decision within three months; extendable to at most six months | AIFM EUR 125 000; self-managed AIF EUR 300 000 |
| IUG management company | Completeness notice within 10 working days; decision at the latest three months after it; at the latest six months from receipt in special circumstances | Management company CHF 125 000; self-managed vehicle CHF 300 000 |

Above EUR 250 million of managed portfolios (CHF 250 million under the IUG), the capital rises by 0.02% of the excess, capped at EUR 10 million in total (CHF 10 million). A small AIFM (EUR 100 million, or EUR 500 million in the case AIFMG Art. 3 names) applies for full authorisation within 30 calendar days of crossing its threshold.

Problems we solve
The approval time you were told
You may have read one fixed number of days. The statutes set a period per regime, with extensions, and for an AIF the clock runs on the AIFM's authorisation.
The capital you were quoted
The acts set minimums: EUR 125 000 for a management company or AIFM, EUR 300 000 for a self-managed vehicle, CHF under the IUG. We work from those figures.
Own management company or white label
The Liechtenstein fund association lists licensed management companies that set up funds for sponsors. We explain what the management company does and what stays with you; we recommend no firm.
Foundation or fund
A foundation or an Anstalt is a different structure with its own rules and its own page on this site. This page covers investment funds only.
The regime nobody explains
The Investmentunternehmen is the third regime: a vehicle for qualified investors with an FMA certificate. We set out its criteria plainly for the partner's decision.

Why work with us
VCS lists the regime questions, collects the documents and coordinates the depositary and the auditor on one timeline. The licensed partner named in your engagement letter gives the regulatory advice.

Frequently asked questions about fund setup in Liechtenstein
Is there one fixed approval time for a Liechtenstein fund?
No. The statutes set a period per regime and allow the FMA to extend it. A UCITS is decided within 10 working days of complete documents (one month for a first self-managed Investmentgesellschaft), extendable. An AIF is not authorised; its AIFM is, within three months, extendable to six. One figure for every fund does not match the acts.
Does the FMA authorise the fund itself or its manager?
It depends on the regime. A UCITS is authorised, and so is its management company, unless it is a self-managed Investmentgesellschaft. For an AIF, the FMA authorises the AIFM and enters the AIF in its register. An Investmentunternehmen under the IUG receives a certificate once the auditor's confirmation is in.
Do I need my own management company, or can I use an existing one?
Either route exists. The Liechtenstein fund association lists licensed management companies that offer white-label fund set-up; we name the association, not its members. A management company of your own under the IUG takes the form of an AG, an Anstalt or an SE, formed by the licensed trustee.
Can VCS set up the fund without a licensed partner?
No. Financial and business advice for third parties is a trustee activity under the Trustee Act, and legal advice is reserved to lawyers. We coordinate the application; the licensed partner named in your engagement letter advises, and the management company or AIFM submits. Operating without FMA authorisation is a criminal offence.
Is there a minimum capital beyond the statutory one?
The figures are minimums. Above EUR 250 million of managed portfolios (CHF 250 million under the IUG) capital rises by 0.02% of the excess, capped at EUR 10 million (CHF 10 million). A UCITS management company or AIFM must also hold at least the Reg. (EU) 2019/2033 Art. 13 amount; an IUG management company, a quarter of its fixed overheads.
Is a fund taxed in Liechtenstein?
This page does not state a tax treatment for funds. The tax position of the vehicle and the management company is a question for the licensed tax adviser named in your engagement letter. Our tax advisory page covers that service.
Is a foundation, Anstalt or trust a fund vehicle?
The IUG lets an Investmentunternehmen take the contractual form, collective trusteeship (Kollektivtreuhänderschaft), the company form (Investmentgesellschaft) or a partnership form. A foundation or Anstalt is not among them, though the FMA may recognise another domestic form in a justified individual case (IUG Art. 6(3)). Foundation, Anstalt and trust have their own pages here; this page covers investment funds only.
Which fund types can be set up in Liechtenstein?
Three regimes: a UCITS under the UCITSG, an AIF managed by an AIFM under the AIFMG, and an Investmentunternehmen under the IUG, which is neither a UCITS nor an AIF. An Investmentunternehmen can take the contractual form, collective trusteeship, the company form or a partnership form.
What is the difference between a UCITS and an AIF in Liechtenstein?
A UCITS is authorised by the FMA, and its management company needs its own authorisation unless it is a self-managed Investmentgesellschaft. An AIF is not authorised itself: its AIFM is, and the FMA enters the AIF in a public register of AIFM and the AIF they manage, updated monthly.
What is an Investmentunternehmen under the IUG and who may invest?
Neither a UCITS nor an AIF, open to qualified investors: professional investors; investors with a CHF 100 000 minimum and CHF 1 million in financial assets; investors with a CHF 100 000 minimum whose expertise is assessed; family or group vehicle investors (a family vehicle's first subscriber must also pass the professional or CHF 100 000 test), IUG Art. 4(1).
How long does FMA authorisation take for each regime?
A UCITS: 10 working days from complete documents (a first self-managed Investmentgesellschaft: one month), extendable to two months (six in that case). A UCITS management company: one month, up to six. An AIFM: acknowledgement in 10 working days, decision in three months, up to six. An IUG management company: completeness notice in 10 working days, decision three months after it.
What capital does a management company or AIFM need, and does it rise with the portfolio?
EUR 125 000 for a UCITS management company or AIFM; EUR 300 000 for a self-managed Investmentgesellschaft or AIF; CHF 125 000 and CHF 300 000 under the IUG. Above EUR 250 million of portfolios it rises by 0.02% of the excess. Floors: the Reg. (EU) 2019/2033 Art. 13 amount (UCITS management company, AIFM); a quarter of fixed overheads (IUG).
Who can be the depositary of a Liechtenstein fund?
A UCITS appoints a single depositary under a written contract. A domestic AIF holds its assets with a depositary in Liechtenstein. For an Investmentunternehmen, a licensed trustee or trust company is admitted as depositary where the vehicle does not in principle invest in financial instruments. The depositary is chosen with the licensed partner.
When must a small AIFM apply for full authorisation?
Within 30 calendar days of crossing its threshold. The threshold is EUR 100 million including assets acquired through borrowing, or EUR 500 million where the AIF use no borrowing and grant no redemption rights for five years after the first investment. Assets managed through a connected company count towards it.
What do the FMA fees amount to?
The FMA fees for 2026 are CHF 20 000 for an AIFM authorisation, a UCITS management company or an IUG management company licence; CHF 10 000 to register a small AIFM; CHF 2 500 for a UCITS without sub-funds; and CHF 500 for an IUG certificate. Pricing of our service is on request.
