Accounting Services in Liechtenstein: Bookkeeping and Tax Filings
Who keeps the books, what is due when, and what is filed where. We prepare the file for a licensed partner.
- Books kept ten years, PGR Art. 1059(1)
- Accounts filed within twelve months, Art. 1122(1)
- Return documents in German, SteG Art. 94(3)

What the service covers
We prepare, collect and coordinate. A licensed Liechtenstein trustee keeps the books and prepares the return under the Trustee Act (TrHG); a bookkeeper with a trade licence can keep the books only. The board files the accounts; the Tax Administration assesses. Tax advice is a trustee activity: see tax planning for a Liechtenstein company or foundation.
The partner who acts is named in your engagement letter. We do not audit, sign the accounts or give tax advice, and we promise no acceptance of a return and no extension. Fees are on request.

What is included
Bookkeeping and annual accounts
The licensed partner keeps the books under the PGR. We collect the vouchers and chase what is missing.
Opening balance sheet
An opening balance sheet and an inventory of assets and debts fall due at entry in the register. We prepare the document list.
Corporate tax-return pack
We assemble the documents the licensed partner needs to prepare the return under your written power of attorney.
Accounts package for the register
We prepare the approved accounts package the board files electronically with the Amt für Justiz.
Liquidation balance sheet
Drawn up by the liquidator during the liquidation of an entity with a qualified liquidator; we prepare the records.
Restoration of records
Where books are incomplete, the licensed partner rebuilds them from bank statements and vouchers; we gather the papers.
Payroll coordination
We coordinate payroll records with a Liechtenstein bookkeeper. This page states no payroll duty.
Who may do each act
The statutes split the work between a trustee, a trade-licensed bookkeeper, an auditor and the board.
Who may perform each accounting act
Accounting acts by who may perform them and what VCS does.
| act | who may perform it | what VCS does |
|---|---|---|
| Keeping the books | A licensed trustee (TrHG Art. 2(e)) or a holder of a Trade Act licence for bookkeeping (SPG Art. 2(1)(x)) | Collects vouchers, chases gaps, coordinates |
| Signing, approving and filing the annual accounts | The persons entrusted with management sign, the supreme body approves, the legal representatives file (PGR Art. 1056, 1122) | Prepares the package |
| Tax return | A licensed trustee under a written power of attorney (SteG Art. 90); the taxpayer signs personally and confirms that the return is complete | Assembles the documents |
| Review and audit | The audit is reserved to licensed auditors; the review may be done by a Revisor, an audit firm or a licensed trustee (PGR Art. 1058) | Neither |
| Tax advice for third parties | Trustees only (TrHG Art. 2(d)) | None; points to the tax service |
| Liquidation balance sheet | The liquidator; at least one liquidator meets PGR Art. 180a or holds a TrHG Art. 13 licence | Prepares resolutions and records, never the sole liquidator |

When you need it
Holding or shelf company with no activity
An AG, KAG or GmbH keeps proper accounts even with no business. For gains, see "does Liechtenstein tax capital gains on shares and real estate".
Company bought ready-made
Already entered, so its opening balance sheet fell due at entry; the yearly duties continue for the buyer. See the ready-made companies page.
Foreign-owned company with a return
A written power of attorney for the representative, return documents in German, and a Liechtenstein representative if the authorities ask for one.
Incomplete or missing books
No dedicated restoration statute was found; where documents are not reliable, the Tax Administration assesses at its discretion.

Practical problems and how they are handled
"Who may keep the books?"
Two statutory routes: a licensed trustee or a trade-licensed bookkeeper. The audit stays with licensed auditors. The partner is named in your engagement letter.
"Prepared in six months, filed in twelve"
Two deadlines: the accounts are prepared within six months and filed within twelve. The twelve months apply to an AG, KAG or GmbH and may be extended on a reasoned application.
"Which language?"
Accounts in German or English; return documents in German with annexes that may be in English; register entries in German, under the Commercial Register Ordinance (HRV).
"Can we skip the review?"
A micro company may waive it by unanimous decision of the supreme body, later years included; any member may demand a review. Entry costs CHF 50.
"The books are incomplete, or the filing is late"
The Tax Administration assesses at its discretion where documents are not reliable. A procedural breach after a reminder costs up to CHF 1,000, up to CHF 10,000 in serious or repeat cases.
Need the yearly cycle planned before year-end?
The file starts with a plan of the dates and documents; nothing is promised before the partner accepts.
Who prepares your accounting file
From our practice
Katrin keeps the bookkeeping and accounts calendar, collects the documents and assembles the return file the licensed partner submits, in German, English or Italian. She is not an auditor, a licensed trustee or a tax adviser in her own name.
Frequently asked questions about accounting services in Liechtenstein
Why can't VCS just keep the books itself, and who actually signs the accounts?
Bookkeeping and review for third parties are a trustee activity so far as not reserved to auditors (TrHG Art. 2(e)), and unlicensed practice is an offence (Art. 80(1)). A licensed trustee or a trade-licensed bookkeeper keeps the books; VCS collects and coordinates. The persons entrusted with management sign the accounts (PGR Art. 1056).
Do I need a Liechtenstein trustee, or is a bookkeeper with a trade licence enough?
The statutes give two routes. A licensed trustee may keep books and review accounts (TrHG Art. 2(e)); a holder of a Trade Act licence for bookkeeping counts as an external bookkeeper (SPG Art. 2(1)(x)). Tax advice cannot be licensed as a trade (GewG Art. 3(f)). We recommend no route; the engagement is set with the partner.
My company is a holding or a shelf company with no activity: do I still have to keep books and file accounts?
Yes. An AG, KAG or GmbH keeps proper accounts even if it runs no commercial business (PGR Art. 1045(2)). A bought ready-made company is already entered, so its opening balance sheet fell due at that entry; accounts follow within six months, filing within twelve, and a minimum income tax is owed for each tax year.
Can the accounts be in English and in euro, or must they be in German and Swiss francs?
The accounts may be in German or English and in Swiss francs, euro or US dollars (PGR Art. 1049(1)). The tax return documents are in German (SteG Art. 94(3)), with annexes that may be in English (SteV Art. 41(3)). Register entries are in German; supporting documents may be in another language (HRV Art. 4).
Does my company need an audit, a review, or neither?
An AG, KAG or GmbH other than a small company needs an audit by a licensed auditor (PGR Art. 1058(1)). A small company exceeds at most one of: balance sheet total CHF 9.2 million, turnover CHF 18.5 million, 50 employees. Unaudited accounts are reviewed by a Revisor, an audit firm or a licensed trustee (Art. 1058(2)) unless waived.
Can a micro company waive the review, and how is the waiver registered?
A micro company running a commercial business may waive the review by unanimous decision of the supreme body (PGR Art. 1058a); segmented legal persons and AGs with bearer shares are excluded. The waiver is declared to the Amt für Justiz and entered for CHF 50. Any member may demand a review later. No company is promised to qualify.
By when must the accounts be prepared, and by when filed with the commercial register?
Prepared within six months after the financial year ends (PGR Art. 1048(2)). An AG, KAG or GmbH files them, approved and with the report unless the review was waived, no later than twelve months after the balance sheet date (Art. 1122(1)); the Amt für Justiz may extend on a reasoned application. The deposit costs CHF 30 per document.
How long must books and vouchers be kept, and may they be stored electronically?
Books, vouchers and business correspondence are kept for ten years, counted from the end of the financial year of the last entry (PGR Art. 1059(1)). Electronic books have the same evidential force as paper (Art. 1059(3)). This answer states the rule only and recommends no storage product or archive service.
How is the corporate tax return filed, and can the trustee sign it for me?
The return is created in the Tax Administration's eTax programme and filed electronically with the detailed annual accounts (SteV Art. 42a(1)). A representative needs a written power of attorney (SteG Art. 90). The taxpayer signs personally (Art. 94(2)) and confirms in writing that the return is complete and true (SteV Art. 41(2)(f)).
What is the deadline for the Liechtenstein corporate tax return, and can it be extended?
The Tax Administration fixes the filing deadline each year (SteG Art. 95(1)). For the corporate return it may extend by six months on a reasoned written request made at the latest 30 days after the general due date, and the provisional invoice must be paid (SteV Art. 42). We print no calendar date and promise no extension.
Must the tax return be in German?
Yes. The return documents are written in German (SteG Art. 94(2), (3)); for further documents the authority may require a translation or have one made at the taxpayer's cost. The annexes, such as the detailed annual accounts and the auditor's report, may be in English (SteV Art. 41(3)). The accounts may be German or English.
What happens if I file late or not at all?
For the tax return, an intentional or negligent breach of procedural duties after a reminder is fined up to CHF 1,000, up to CHF 10,000 in serious or repeat cases (SteG Art. 135). Without a return or reliable documents, the Tax Administration assesses at its discretion (Art. 102(2)). For the accounts, we state the deadline only.
What does an opening balance sheet cover when a company is formed or bought ready-made?
An opening balance sheet and an inventory of all assets and debts are due at entry in the register (PGR Art. 1047, 1048(1)); annual accounts follow at each year-end. A ready-made company is already entered, so its opening balance sheet fell due then, and the buyer takes over the yearly duties: accounts in six months, filing in twelve.
What is a liquidation balance sheet and how are assets valued in it?
Liquidators draw it up when they take office, with the board's help and its books and papers (PGR Art. 135(1)). Assets are valued at disposal value at the balance sheet date and hidden reserves may no longer be kept (Art. 135a(2), (4)); a balance sheet follows every year (Art. 136(3)). VCS is never the sole liquidator.
Our books are incomplete: can they be restored, and what does the tax office do meanwhile?
No dedicated restoration statute was found; the books are judged by the PGR rule that entries be complete, correct, timely and orderly (Art. 1046). Where the tax base cannot be determined for lack of reliable documents, the Tax Administration assesses at its discretion (SteG Art. 102(2)). The licensed partner rebuilds from vouchers; VCS gathers them.
