What a ready-made company is in Liechtenstein

The PGR, HRV and GewG texts we read have no separate shelf-company category: we found no such rule. Buying a ready-made company in Liechtenstein means taking over the ownership rights of an existing entity, by the instrument of its form: a GmbH share assignment, AG share certificates, or an Anstalt's founder's rights.

VCS prepares and coordinates the file. A licensed Liechtenstein trustee under the Trustee Act (TrHG), named in your engagement letter, acts on the transfer and the filings; legal advice stays with lawyers. No bank account, licence or tax result comes with a row.

What changes hands, by legal form

What is included in the transfer

  • The ownership rights, by the form's instrument: GmbH assignment, AG certificates, Anstalt founder's rights
  • The history you read first: filed accounts, filing dates, tax position, beneficial-owner entry
  • The articles and the share register; for AG bearer shares, the custodian's name
  • Identification of you and your beneficial owner by documents, by the licensed trustee
  • A local board member and a registered address in Vaduz with a resident representative
  • Not included: a bank account, a licence or a tax result; the bank decides

How the acquisition works

We found no statute that sets a shelf procedure or a day count; each step below is the ordinary transfer, filing or reporting rule.

Buying a Liechtenstein ready-made company

  1. Request and due diligence

VCS collects; the licensed trustee reviews tax and accounts

Who acts: Client, VCS, licensed trustee

  2. Identification

    Who acts: Licensed trustee

  3. Transfer instrument signed

GmbH: public deed. AG: endorsed certificate or custodian. Anstalt: founder's rights

    Who acts: Seller and buyer

  4. Filings

Board changes without delay; beneficial-owner update 30 days from knowledge

    Who acts: Licensed trustee

  5. Bank

    New KYC file

    Who acts: The entity's bank

Access to the beneficial-owner register is limited since 30 July 2026; deadlines that cannot be met are suspended.

Five steps, an actor for each.
  1. Request and due diligence

You request a row. We collect the register extract, articles, share register, accounts with filing dates, tax position and beneficial-owner entry; the licensed trustee reviews tax and accounts.

  2. Identification

Before the transfer, the licensed trustee identifies you and your beneficial owner and checks the documents.

  3. The transfer instrument

GmbH: public deed, notification to the members and share-register entry. AG: endorsed certificate handed over, or the custodian for bearer shares. Anstalt: assignment of the founder's rights. Seller and buyer sign.

  4. Filings after the transfer

Board, signature and address changes are filed without delay with certified signatures, by the licensed trustee; see filing an amendment with the commercial register. The beneficial-owner update follows, as card 4 below explains.

  5. The bank

The entity's bank opens a new KYC file for you; no account is promised. Background: the banking sector of Liechtenstein and its institutions and the bank account opening guide.

Who acts

VCS prepares and coordinates. The licensed trustee named in the engagement letter forms entities and files for third parties under TrHG Art. 2(a); legal advice is reserved to lawyers.

Inherited history and liabilities

Seller and buyer are jointly liable for due GmbH contributions unless the articles differ. AG and GmbH file accounts within twelve months of the balance-sheet date. Minimum income tax: CHF 1,800 yearly (Tax Act (SteG)).

A levy on a dormant company

The formation levy can apply to a change of ownership of an entity economically liquidated or put into liquid form (SteG Art. 66(2)); Swiss law has a mirror rule. The licensed trustee checks your case.

The beneficial owner

Changes are notified within 30 days of knowledge (VwbPG Art. 4(5)). Since the cyberattack of 30 July 2026, deadlines blocked by the limited access stay suspended. A missed report: fine up to CHF 200,000.

The articles can restrict the sale

A GmbH assignment needs the consent of three quarters of the members holding three quarters of the capital, unless the articles differ. Read them before you sign.

Frequently asked questions about buying a ready-made company in Liechtenstein

Is a Liechtenstein shelf company really kept in stock, or is it a company whose owner no longer needs it?

The law has no shelf-company category: we found no such rule in the PGR, HRV or GewG texts read. A row in the list is a company that VCS offers, and what changes hands is the ownership rights of that entity. You read the register extract, the articles and the filed accounts first.

Do I skip the minimum capital by buying an existing company?

You take over an entity whose capital was paid in under the rule of its legal form, and you check that payment in the file together with the filed accounts. Which capital rule applies to a given legal form is for the licensed trustee to confirm, so this page states no capital figure.

Is a ready-made company faster than forming a new one?

No source we read fixes a number of days for either route. We found no statute that sets a shelf procedure; no register processing time is published, and changes are filed without delay under PGR Art. 965(1). We quote no day count and make no claim that one route is faster.

What history does the buyer take over: tax, late accounts, old liabilities?

You take over the entity as it stands. For an AG or GmbH, annual accounts are filed within twelve months of the balance-sheet date (PGR Art. 1122(1)), and the filing date is entered in the commercial register (Art. 1130(3)), so you can check it. Minimum income tax is CHF 1,800 a year (SteG Art. 62(2)).

Is a levy due when a dormant company is bought?

It can be. The formation levy also applies to a change of ownership of participation rights in a legal person that was economically liquidated or put into liquid form (SteG Art. 66(2)). Swiss stamp-duty law has a mirror rule under the customs treaty. The licensed trustee checks the case; nothing is promised tax-free.

Does the company's bank account stay with it?

That is the bank's decision. The transfer instrument carries no bank relationship: the entity's bank opens a new KYC file for the new owner and decides on it. VCS promises no account. We collect the documents the bank asks for and keep the file in order while it reviews.

Can the shares of a GmbH change hands without a public deed?

No. The assignment of a GmbH share needs a public deed to be valid (PGR Art. 403(4)) and is effective only when notified to the members and entered in the share register (Art. 403(1)). The deed fee is CHF 200 and the register fee for the contribution transfer CHF 100, both official fees.

Can the articles of a GmbH block or limit the sale?

Yes. Entry needs the consent of three quarters of the members who also hold three quarters of the capital, unless the articles say otherwise (PGR Art. 403(2)). The articles may also waive that consent or restrict the assignment further (Art. 403(3)). Read them before you sign anything.

How does an AG change hands, and what about bearer shares?

Registered shares pass by handing the endorsed share certificate to the acquirer (PGR Art. 327(2)); the text we read names no public deed and no register step for it. Bearer shares must be deposited with a custodian (Art. 326a(1)), so ask who the custodian is before the sale.

How is an Anstalt taken over?

Through its founder's rights, which can be assigned, transferred and inherited but not pledged (PGR Art. 541). Their holder forms the supreme body of the Anstalt (Art. 543(1)). Entering, changing or deleting Anstalt shares at the commercial register costs CHF 100, an official fee set by the register fees ordinance.

Who stays on the board after the sale, and who is the local representative?

At least one board member with power to manage and represent must be an EEA national, an equal person or a legal person, and must hold a licence under the Trustee Act (PGR Art. 180a(1)). The entity also needs a Repräsentant resident in Liechtenstein (Art. 239(1)). The licensed trustee agrees the mandates.

By when must the beneficial owner be updated, and what applies while the register has limited access?

Changes are notified within 30 days of the entity learning of them (VwbPG Art. 4(5)); a missed report can be fined up to CHF 200,000 (Art. 31(2)). Since the cyberattack of 30 July 2026, deadlines that cannot be met because of the limited access remain suspended, with no end date stated.

Can I change the name and purpose after the purchase?

Yes, by an articles change. The supreme body passes a resolution, which needs a public deed where membership carries a property right (PGR Art. 177(1)). The licensed trustee then files the change with the commercial register without delay (Art. 965(1)). We prepare the papers; no fee is quoted here.

Which documents does the licensed trustee ask the buyer for?

Documents that identify you (SPG Art. 6(1)) and your beneficial owner (SPG Art. 7(1)), which the licensed trustee checks as the due-diligence person, and your signature on the transfer instrument. Written register filings carry certified signatures (HRV Art. 31(2)). The trustee sets the exact list for your case and your legal form.
