Liechtenstein AG Formation (Aktiengesellschaft)
We prepare your AG file; a licensed trustee, named in your engagement letter, forms and files it.
- Minimum capital CHF 50,000, fully paid in
- At least two founders
- Public deed before a notary
- Licensed trustee files

What we do on an AG formation
An AG has a share capital divided into shares, and only the company's assets answer for its debts. Forming companies for others and taking board mandates under Art. 180a are reserved to licensed trustees (Trustee Act, Art. 2). This page covers the AG route of registering a Liechtenstein company through a licensed trustee.
We collect the documents and keep the steps in order; the licensed trustee identifies you and files, and a notary executes the deed. If you would rather take over an existing company, see the detailed ready-made companies page.

What is included
Document collection and check
We collect identity, address and source-of-funds papers and check them; the licensed trustee identifies the founders.
Draft articles and deed
We draft the articles (Statuten) and the deed content; the licensed trustee or lawyer finalises both.
Board member and Repräsentant
We arrange the Art. 180a board member and the Repräsentant from a licensed trustee, who holds the mandate and the Trustee Act permit.
Capital-deposit account
We coordinate the capital account and the bank confirmation the register needs. The bank decides whether to open it.
Public deed and register application
We book the notary and assemble the application; the board members entitled to sign file it.
After the entry
The licensed trustee or auditor handles the beneficial-owner report, accounts, general meeting and VAT notice; we keep the dates.
Where our work stops
We do not form, file, sit on a board or open accounts. A future an investment firm, insurer or asset manager authorised in Liechtenstein needs its own licence route.

When an AG comes into question
Capital divided into shares
Shareholders owe only the contributions the articles set and are not personally liable for the company's debts.
The capital you commit
The minimum is CHF 50,000 for an AG and CHF 10,000 for a GmbH, one criterion of the choice.
Capital without shares
If the capital need not be divided into shares, compare our Anstalt formation service with the licensed partner.
Board size
From CHF 1 million of capital an AG needs a board of at least three, unless it only has its seat in Liechtenstein or only manages assets (PGR Art. 344).

How the formation runs
No statute or official figure gives a total duration; each step depends on the one before it.

Problems we solve
The bank account comes first
The register needs the bank's confirmation of the paid-in capital. We prepare the bank's file; the bank decides.
Mandates before the deed
The deed must name the board, the audit body or review waiver, and the Repräsentant, so we line up those mandates first.
Papers in English
Entries and extracts are in German, but supporting documents may be filed in another language. The Office of Justice can ask for a certified translation (HRV Art. 4).
Travel to Vaduz
A deed made abroad by a competent public officer may be accepted; electronic notarisation exists since 1 March 2026. Presence may still be required, so we promise no remote-only route.
Your file starts with a plan
We set out who signs what, and when, before a notary is booked.
Why work with us
From our practice
Elias turns a first enquiry into a file plan, drafts the articles in German, English or French, and agrees the mandates with the licensed trustee before the notary date. The trustee then identifies the founders and files.
Frequently asked questions about Liechtenstein AG formation
How much capital does an AG need, and does all of it have to be paid in?
The minimum share capital is CHF 50,000, and that minimum must be paid in or contributed in full under PGR Art. 122. At formation the register also needs proof that at least 25 % of every share is paid in or covered by contributions in kind, with the bank's confirmation.
Do I need a local board member?
Usually yes. At least one board member entitled to manage and represent must be an EEA national, a person treated as equal by treaty, or a legal person, and hold a Trustee Act permit. Companies that must have a managing director under the Trade Act or another special act are exempt.
What does the qualified board member under Art. 180a do, and what if the condition lapses?
The Art. 180a member is entitled to manage and represent the company and holds a Trustee Act permit. Taking such mandates for others is reserved to licensed trustees, so the licensed partner supplies the person. If the condition is not met, or no longer met, the company faces dissolution ex officio under PGR Art. 971.
Do I have to travel to Vaduz to form the AG?
Not always. A public deed made abroad may be accepted if a public officer competent for that place executed it, and electronic notarisation has existed since 1 March 2026. For an electronic application the Office of Justice may require physical presence in an individual case, so we promise no remote-only route.
Will a Liechtenstein bank open an account for a new foreign-owned AG?
That is the bank's own decision, and we cannot promise it. The register application needs a bank confirmation that the capital contributions are paid in, so the capital-deposit account comes first. We prepare the documents the bank asks for and coordinate the confirmation with the licensed trustee.
What are the official register and notary fees?
The basic fee for an AG's first entry is CHF 700; capital above CHF 200,000 raises it by 0.2 per mille of the excess, to CHF 10,000 at most. Each signatory adds CHF 30 and each function CHF 20. Notarial fee: 1 per mille up to CHF 500,000 (minimum CHF 300, maximum CHF 15,000). Our fee is on request.
How long does the register entry take?
No statute and no published figure gives a duration for the register entry. The Office of Justice states that it aims to process entries promptly, which is an aim, not a deadline. The bank, the notary and the mandates each set their own pace, so we quote no time.
Why does the AG need at least two founders?
PGR Art. 281 requires at least two founders at formation. In a simultaneous formation all founders declare in a public deed they sign that they form the company, under Art. 288. That deed takes the place of the constituent general meeting, so no separate founding meeting is held.
Who signs and submits the application to the commercial register, VCS or a licensed trustee?
Under PGR Art. 290 the application is made by the board members entitled to sign, with the complete deed. Art. 118 also allows the Repräsentant and notaries to apply. VCS is none of these and does not file. We assemble the documents; one of the persons the law names files them.
Does the board have to be chosen before the deed is signed?
Yes. The Office of Justice checks that the deed records the appointment of the board members, of the audit body or the waiver of the review, and of the Repräsentant. Every mandate is agreed before the notary appointment, and the acceptance declarations go into the filing.
Can my documents be in English, and what has to be in German?
Register entries are made in German, and extracts and certificates are issued in German as a rule. Supporting documents may be filed in another language. If that hinders inspection by third parties, the Office of Justice can require a certified translation, so we plan German versions where they may be needed.
Are bearer shares still possible?
Yes, but bearer shares must be deposited with a custodian under PGR Art. 326a. Registered shares are freely transferable, also by blank endorsement, unless the articles provide otherwise. Which share type the articles provide for is decided with the licensed trustee or lawyer who drafts them.
What are the yearly obligations after formation?
The ordinary general meeting is held within six months of the year end, and the accounts are drawn up within six months. An audit body is elected in all cases. Income tax is 12.5 % of taxable net income, with a minimum income tax of CHF 1,800 credited against it.
What is the difference between an AG and a GmbH in capital and board rules?
The minimum capital is CHF 50,000 for an AG and CHF 10,000 for a GmbH. An AG with capital of CHF 1 million or more needs a board of at least three, unless it only has its seat in Liechtenstein or only manages assets. Which form fits is decided with the licensed partner.
