Merger, conversion and seat transfer, not insolvency

This page covers mergers of AGs and GmbHs, conversion between legal forms, seat transfer in or out, and the EEA merger of AGs. Insolvency and debt restructuring are not offered here. Professional legal advice and representation are reserved to lawyers under the Lawyers Act (RAG), Art. 8(1), with exceptions in Art. 8(3). For the seat itself, see what a registered office in Liechtenstein includes and who provides it.

It is for owners of AGs and GmbHs, and for groups that run a parent entity for participations and group financing in Liechtenstein. The licensed trustee or lawyer named in your engagement letter files; we coordinate the documents.

What's included

Five routes we prepare. Smaller changes go to changing the directors, seat or statutes of a Liechtenstein entity.

Domestic merger

AGs merge by takeover or into a new AG, without liquidation; a GmbH merges into an AG or GmbH.

Conversion between legal forms

A GmbH converts into an AG or another form by public deed; an AG can become a GmbH without liquidation.

Seat transfer in or out

Into Liechtenstein with approval of the Amt für Justiz, if foreign law permits it; out of it with a permit, on conditions that include a creditor call and tax clearance.

EEA cross-border merger

An AG merges with a capital company of another EEA state. The Amt für Justiz issues the pre-merger certificate after its legality check.

Tax continuity documents

We gather the papers on the values previously relevant for income tax and on the taxing right. The advice comes from a licensed tax advisor Liechtenstein.

Where the service stops: we do not file, notarise, give legal or tax advice, or act as liquidator. Those acts stay with licensed professionals under the Trustee Act (TrHG) and the RAG.

How the process works

Steps of a merger or seat transfer

  1. Scope the route

Who acts: VCS with the licensed partner

  2. Closing balance sheet

Dated at most 8 months before the application

Who acts: Company and its accountant; VCS collects

  3. Merger plan and board report

Expert report waivable only if all shareholders and all holders of other voting securities of all merging companies waive it

Who acts: Boards of the companies

  4. Deed, filing or website publication

Plan at least 1 month before the meeting

    Who acts: Notary; licensed filer

  5. General meeting

AG: two thirds of represented capital, or simple majority if half is represented and statutes set no higher threshold

    Who acts: Shareholders; notary

  6. Registration

    Transferring companies first, acquirer last

    Who acts: Amt für Justiz

  7. Creditor security window

6 months from publication, only if the claim is endangered and payment cannot be demanded, with exceptions

    Who acts: Creditors

  8. Seat transfer

Out needs a permit, granted on conditions that include a creditor call and tax clearance; in needs approval, plus entry and a representative where required

Eight steps; four carry a statutory limit.
  1. Scope the route

We set out whether a merger, conversion or seat transfer fits and check each legal form with the licensed partner.

  2. Closing balance sheet

Each transferring company prepares one, dated at most 8 months before the application for registration, or the Amt für Justiz rejects it.

  3. Plan and reports

The boards of the merging companies draw up the plan and the board report. Experts examine the plan unless all shareholders and all holders of other voting securities of all merging companies waive it.

  4. Public deed and filing

The plan is a public deed. It is filed at least 1 month before the general meeting, or published on each company's website for that month.

  5. General meeting

Shareholders resolve by public deed. An AG needs two thirds of the represented share capital, or a simple majority if at least half the capital is represented and the statutes set no higher threshold; a GmbH, unanimity unless its statutes differ.

  6. Registration

The licensed partner files. The Amt für Justiz enters the transferring companies first, the acquirer last.

  7. Creditor window

For 6 months from publication of the entry, creditors can claim security if they show the merger endangers their claim and they cannot demand payment. Bondholders who approved the merger and creditors with a statutory cover pool are excluded.

  8. Seat transfer

Moving out needs a permit, granted only on conditions that include continuation under foreign law, a public creditor call and a Tax Administration certificate that all due taxes are paid. Moving in needs approval, granted only if the entity has adapted to Liechtenstein law and its foreign law permits the move; entry and a representative follow where required. See also a resident board member provided by a licensed trustee.

Problems we solve

"Restructuring" read as insolvency

This page covers merger, conversion and seat transfer. Insolvency and debt restructuring are not offered here; professional legal advice and representation are reserved to lawyers (RAG Art. 8(1)).

The eight-month date

A closing balance sheet dated more than 8 months before the application is rejected. We check the date before anything is signed.

Filing is not the only route

Each company can publish the plan on its own website for the month before the meeting, with the link posted by the Amt für Justiz.

Creditors keep their rights

Security can be claimed for 6 months after publication of the entry, if the claim is endangered, with some exceptions. A move abroad needs a public creditor call and security for endangered claims.

Have the closing balance sheet and register extracts ready?

With both in hand, we check the dates and list what the licensed partner still needs.

Why work with us

From our practice

Elias collects the documents of every company involved, checks the balance sheet date against the 8-month limit and coordinates the notary, the licensed filer, the Amt für Justiz and the Tax Administration.

Frequently asked questions about company restructuring in Liechtenstein

Is company restructuring in Liechtenstein the same as insolvency?

No. On this page, restructuring means merger, conversion and seat transfer, with division added once the pending law enters into force. Insolvency and debt restructuring are not offered here. Professional legal advice and representation are reserved to lawyers under the Lawyers Act (RAG Art. 8(1)), without prejudice to legal agents, trustees and patent attorneys (Art. 8(3)).

Who files the documents, VCS or a licensed trustee or lawyer?

The licensed trustee or lawyer named in your engagement letter files. We prepare the documents and coordinate the notary, the register and the Tax Administration. Forming legal persons and tax advice for third parties are trustee activities, and exercising them without a licence is an offence under the Trustee Act.

What kinds of company reorganisation exist in Liechtenstein?

In force today: the merger of AGs and GmbHs, conversion between legal forms, seat transfer into or out of Liechtenstein, and the cross-border merger of an AG with a capital company of another EEA state. Division and the new EEA seat transfer for AGs are legislated but not yet in force.

How does a merger of two Liechtenstein companies work, step by step?

The boards draw up the merger plan, which is executed as a public deed. Experts examine it unless all shareholders and all holders of other voting securities of all merging companies waive that. The plan is filed, or put on each company's website, at least 1 month before the general meeting. The transferring companies are entered first, the acquirer last.

Does a merger plan need a public deed?

Yes. PGR Art. 351a(3) requires a public deed for the merger plan, and the general meeting's merger resolutions are filed as a public deed too. The notarial fee is CHF 400 per deed for a merger or split, plus any capital increase or reduction fees. We prepare the supporting documents for the notary.

How long before the general meeting must the merger plan be filed or published?

At least 1 month. Each company files the plan with the commercial register at least one month before the general meeting that votes on it. The duty falls away if each company makes the plan freely available on its website for that month and a link with the publication date is posted on the Amt für Justiz website.

What majority does a merger resolution need?

For an AG, two thirds of the represented share capital. A simple majority suffices if at least half the capital is represented and the articles set no higher threshold. For a GmbH, the merger resolution is unanimous unless the statutes say otherwise. The resolution is recorded in a public deed.

How old may the closing balance sheet be?

Each transferring company attaches a closing balance sheet to the registration. The Amt für Justiz rejects the application if that balance sheet is dated more than eight months before the application for registration, which is made after the general meeting. That is why we check the date before the meeting is called.

What happens to creditors when companies merge?

Creditors of the merging companies can claim security if they register within six months of the publication of the entry, show that the merger endangers their claim and cannot demand payment. Bondholders who approved the merger and creditors with a statutory cover pool have no such right. Assets and debts pass to the acquirer on entry.

Can a GmbH merge with an AG?

Yes. A GmbH can merge into an AG or into another GmbH by transferring all its assets and debts. The GmbH's resolution is unanimous unless its statutes say otherwise. The register fee for entering a merger without a capital increase is CHF 300, under the fee ordinance in the version of 1 August 2024.

Can an AG be converted into a GmbH, and the other way round?

Yes. An AG can become a GmbH as universal successor without liquidation, if the GmbH capital is not lower than the AG share capital and the shareholders' participation represents at least three quarters of the AG share capital. A GmbH can convert into an AG, cooperative, Anteilsgesellschaft or partnership form at any time by public deed.

Can a company move its seat from Liechtenstein to another country?

Yes, without dissolution. The Amt für Justiz permit is granted only on conditions that include continuation under foreign law, a public creditor call with security for endangered claims, and a Tax Administration certificate that all due taxes are paid. The register fee is CHF 600. The tax is deferred interest-free until realisation, as far as its enforcement is secured.

Can a foreign company move its seat to Liechtenstein?

Yes, without dissolving abroad. The Amt für Justiz approves only if the entity has adapted to Liechtenstein law and foreign law permits the move. The register fee is that of a new entry, plus a 1 % formation levy (CHF 1 million threshold, lower rates above CHF 5 million and CHF 10 million) where Swiss stamp legislation does not apply.

Are hidden reserves taxed in a merger or conversion?

Not if Liechtenstein keeps its taxing right and the acquirer carries over the values previously relevant for income tax (SteG Art. 52(1)). The acquiring company then takes over the transferor's tax position, including loss carry-forward. Whether those conditions hold in your case is tax advice, a trustee activity, so the licensed trustee answers it; we gather the documents.

Can a Liechtenstein company be split into two (demerger)?

Not yet. Domestic division of an AG, cross-border division and GmbH division are legislated in LGBl. 2025 Nr. 315 but not yet in force. The act enters into force together with the EEA Joint Committee decision, and no date is set. Until then, the merger, conversion and existing seat-transfer rules apply.
