What we do on a GmbH formation

Through our company registration service we collect your documents, check them and keep the GmbH file in order. A licensed Liechtenstein trustee, named in your engagement letter, drafts the final papers and files them (Trustee Act, Art. 2). The GmbH exists only from its register entry.

We hold no board seat, perform no notarial act and promise no bank account, register date or tax result. Buying an existing company instead? See how the purchase of a ready-made Liechtenstein company is closed.

What is included

Seven parts of one file, each with the party that acts.

Document collection

We collect the identification pack and check it for completeness; the licensed trustee identifies the members.

Draft articles and route

We prepare the commercial content of the Statuten and the choice of route; the licensed trustee finalises them.

Board member and Repräsentant

A licensed trustee supplies the qualified Art. 180a board member and the local representative every Liechtenstein company must appoint.

Capital-deposit account

We coordinate the account for the share capital with the bank. Whether the account is opened is the bank's decision.

Deed and application

We prepare the deed or model protocol and the register application. The notary draws up a deed; the members sign.

After the entry

Beneficial-owner report, accounts and any VAT notice, coordinated with the licensed trustee and accounting services Liechtenstein.

Share register

We prepare the share register and, for a later sale, the transfer papers with the notary.

When a GmbH comes into question

What the statute says about the form; the choice is made with the licensed partner.

Who forms it, who answers

One or more persons, firms or legal entities form it with fixed share capital. Only the company's assets answer for its debts (PGR).

The simplified route

At most three members and one managing director: the Office of Justice model protocol replaces the public deed.

Next to the AG

A GmbH needs CHF 10,000 of minimum capital, an AG CHF 50,000. A GmbH share is transferred by public deed.

A group structure

Placing participations in a group entity is a different job: read why a group places its participations in a Liechtenstein holding.

How the formation runs

No statute sets this order or a day count for the register entry; the steps follow what the file needs.

  1. Intake and identification

You send the identification pack. We collect and check it; the licensed trustee identifies every member and managing director.

  2. Route and draft articles

We prepare the commercial content and the choice between deed and model protocol; the licensed trustee drafts and finalises the articles.

  3. Mandates agreed first

Managing directors, the Art. 180a board member, the Repräsentant and the audit body are agreed before the deed, because the deed records them.

  4. Capital paid in

The CHF 10,000 is paid in full to a capital-deposit account. The bank issues the certificate and decides on the account.

  5. Deed or protocol

A notary draws up the public deed, or the members sign the model protocol with certified signatures. Electronic notarisation (eID sign-in) is regulated from 1 March 2026 (LGBl 2026 Nr. 38); company-deed use is unconfirmed.

  6. Register application

The licensed trustee or the notary files the application with the Office of Justice; we prepare the file.

  7. Register entry

The GmbH exists from the entry. The beneficial-owner report follows within 30 days (access limited since 30 July 2026; deadlines that cannot be met are suspended).

Problems we solve

The bank comes first

The CHF 10,000 is paid in full and the register file needs the bank certificate. Whether a bank opens the account is the bank's decision.

A real local board member

The deed records the managing directors, the Repräsentant and the audit body; the model protocol records the managing directors and the audit body or the review waiver. The Art. 180a member is agreed first.

Member names can be visible

The application names every member. Either the names are entered or a member list is kept, and the January list is open to anyone.

Travel and papers

A foreign deed made by a competent officer can be accepted; the Office may still ask for presence. Supporting documents may be in English, entries are in German.

A later share sale

A transfer needs a public deed and a share-register entry, and three quarters' consent unless the articles say otherwise.

Your GmbH starts with a plan

We set out the route, the mandates and the papers before anyone signs.

Why work with us

From our practice

Elias builds the GmbH file in German, English or French and coordinates the notary, the licensed trustee and the Office of Justice. The licensed trustee, named in your engagement letter, performs every reserved act.

Frequently asked questions about Liechtenstein GmbH formation

Do I need to live in Liechtenstein to own or manage a GmbH?

No residence is required to be a member: members may be persons, firms or legal entities. The local rules attach to management. One manager with power to represent must be an EEA national, equal by treaty, or a legal person, and meet Art. 180a, and a Repräsentant resident in Liechtenstein represents the company.

Why is a qualified local board member under Art. 180a required, and who arranges it?

PGR Art. 180a(1) requires at least one member of the administration with power to manage and represent to meet its conditions; if they lapse, the authority dissolves the company. A board mandate for third parties is a trustee activity, so a licensed trustee takes it, and VCS arranges and coordinates it.

Is the CHF 10,000 capital enough, and does it have to sit in a bank account first?

CHF 10,000 is the statutory minimum, or EUR 10,000 or USD 10,000 if the capital is set in euro or dollars, paid in or brought in in full. The register file needs the bank certificate of payment, so the capital-deposit account comes before the register entry.

Can I form a GmbH remotely, without travelling to Vaduz?

A deed drawn up abroad can be accepted if a competent public officer made it; outside the EEA it needs an apostille or super-legalisation. An ordinance in force since 1 March 2026 governs an electronic notarisation system (eID sign-in); whether it covers company deeds is not confirmed. The Office may require presence in an individual case. Nothing is promised.

Will a Liechtenstein bank open an account for a new GmbH?

That is the bank's decision, and VCS promises nothing. The register file needs the bank certificate of payment of the capital, so the capital-deposit account comes before the register entry. VCS coordinates that step with the bank and passes on the documents the bank asks for.

How long does formation take?

No statute and no published figure fixes a number of days for the register entry; the Office of Justice says only that it endeavours to process filings promptly. VCS quotes no processing time. The steps before the filing depend on how fast the documents arrive and on the bank.

Who is liable for the company's debts?

Only the company's assets answer for its debts, and each member's liability is limited to a stated amount. Managing directors are liable without limit and jointly for damage caused by a faulty share register. The law states this; it is not advice on your position.

Who actually forms the company and files it, VCS or a licensed trustee?

A licensed Liechtenstein trustee, named in your engagement letter, not VCS: forming a company for third parties is a trustee activity. The law lets the managing directors, the Repräsentant and notaries apply for the entry. VCS prepares, checks and coordinates the file, and the members sign.

Is a GmbH the same as an LLC?

This page compares no foreign form. In Liechtenstein a GmbH is a company with fixed share capital, only the company's assets answer for its debts, and it exists only from the register entry. A comparison with a US LLC would be legal advice, which the law reserves to lawyers.

What is the simplified route with the model protocol, and what are its limits?

A GmbH with at most three members and one managing director may be formed without a public deed. The articles follow the Office of Justice template, no provision may deviate from the law, the members' signatures are certified, and the founding articles count as the member list. The licensed trustee confirms the fit.

Which documents do the members and the managing directors need to provide?

Identity documents and beneficial-owner details, and for each member and managing director the name, date of birth, nationality and residence, or firm and seat. A foreign founding company adds a commercial register extract or equal proof, and managing directors give written acceptance of office. The licensed trustee says what else its due diligence needs.

What are the official register and notary fees?

Under the fee ordinance in its version of 1 August 2024, the basic fee for a first GmbH entry is CHF 700, plus CHF 30 per signatory and CHF 20 per function. The notarial fee is 1 per mille up to CHF 500,000, at least CHF 300. These are official fees, not VCS prices.

What does the company owe each year (tax, accounts, UBO report, share register list)?

Income tax is 12.5 %, minimum CHF 1,800 unless Art. 62(3) applies. Accounts are filed within twelve months of the balance-sheet date, the share-register list at each year's start. The UBO report is due within 30 days of entry; since the cyberattack of 30 July 2026, access to the register is limited and deadlines that cannot be met are suspended.

How do a GmbH and an AG differ in capital, board rules and share transfer?

The minimum capital is CHF 10,000 for a GmbH and CHF 50,000 for an AG. In a GmbH all members manage and represent together unless the articles say otherwise, and a share transfer needs a public deed. Which form fits is decided with the licensed partner, not on this page.

Are the names of the members public?

The application names every member. Either the member names are entered in the register or a member list is kept at the seat, and the list filed with the Office of Justice at the start of each year can be inspected by anyone. Which route applies to a given company is not stated here.
