Liechtenstein Anstalt Formation and Registration

We prepare your Anstalt file and coordinate the signatures; a licensed trustee, named in your engagement letter, forms the Anstalt and files it.

  • One founder is enough
  • Written statutes, no public deed
  • Minimum capital CHF 30,000 without shares

The Liechtenstein Anstalt in brief

An Anstalt is a legally independent, organised enterprise for lasting economic or other purposes, entered in the commercial register (PGR Art. 534). One founder is enough, and it can be built like a foundation or like a corporation. Here is what a foreign founder signs before a Liechtenstein company is entered in the register.

We prepare the file and coordinate; forming legal persons for others is reserved to licensed trustees (Trustee Act, Art. 2), so the trustee forms and files. The Anstalt becomes a legal person only on its register entry.

What's included

Six pieces of work, from the first draft to the report after the entry.

The formation file, prepared

Firm-name enquiry, draft statutes, formation act, application and the document list, ready for the licensed partner's review.

Documents collected, signatures coordinated

We collect your papers and coordinate the certification of the founders' signatures.

Formation and filing by a licensed trustee

The licensed trustee forms the Anstalt and files the application; we keep the steps in order.

Board member and Repräsentant, where needed

We arrange the board mandate a Liechtenstein company needs to stay in good standing; a licensed trustee holds it and provides the Repräsentant or service address.

The beneficial-owner report

The trustee identifies you and the beneficial owners and files the report after the entry.

Conversion of an AG or GmbH

An existing AG or GmbH can be converted into an Anstalt; we route the conversion to the licensed partner.

Which Anstalt fits your plan

Foundation-like Anstalt

No members and no shares; the statutes usually entrust the board with the supreme body's powers. It is entered in Annex 2 of the beneficial-owner register, and its distributions are exempt as the Tax Act provides. Compare the Liechtenstein Stiftung for family wealth and succession.

Commercial Anstalt

Runs a business and keeps accounts. Income tax is 12.5 %, minimum CHF 1,800, subject to the Art. 62(3) exception (SteG). Annex 1 of the register.

Holding or asset-holding Anstalt

Holding assets is not a commercial business, so the qualified board member is needed unless an Art. 180a(3) exception applies. See our holding structure service.

How Anstalt formation works

No statute and no Office of Justice guidance sets a day count; each step waits for the one before it.

  1. Prepare the file

Firm name, capital, draft statutes, board, signing rights and the formation act. You supply, we draft, the licensed partner reviews.

  2. Raise the Anstaltsfonds

Cash with the founders' payment declaration, or assets in kind with an itemised list and an expert valuation. Both payment rules are set out in the table below.

  3. Sign the statutes

All founders sign the written statutes, and the signatures are certified. No public deed is required for formation.

  4. Formation act

The formation act may sit in the statutes. With several founders, a founding meeting is held and recorded.

  5. Application

The licensed trustee files the application with the register, with certified signatures.

  6. Supporting documents

Certified statutes, payment declaration, board list and acceptances, auditor acceptance or waiver, signature specimens and any permits.

  7. Examination and entry

The Office of Justice checks the conditions and enters the Anstalt, which becomes a legal person on entry.

  8. After entry

Beneficial owners are reported within 30 days of entry (VwbPG Art. 4); access limited since 30 July 2026; deadlines that cannot be met are suspended. A later full payment of the fund is also reported.

Problems we solve

The questions founders ask most before an Anstalt formation, answered from the statute.

Do I need a notary?

No public deed for formation: written statutes with certified signatures are enough. We arrange the certification step.

Paid in full, or by half?

The statute set carries two formulas. We show both with their sources, and the licensed partner settles which one your file follows.

How long will it take?

The law sets no day count. Complete documents, certification and the Office of Justice examination drive the pace, so we quote no time.

The bank account

Opening an account is the bank's decision. We prepare the papers it asks for and promise no result.

Who owns it, who benefits

No shareholders by default. The founder's rights can be assigned and inherited, not pledged, and the statutes name the beneficiaries.

Ready to see what your file needs?

Your file starts with a plan of who signs what and which papers go to the register.

Why work with us

How we work: every file starts with the type questions, then the capital route, the mandates and the document list. Each point carries its statute line, and the licensed trustee checks the file before anyone signs.

Frequently asked questions about Liechtenstein Anstalt formation

Is a notary or public deed needed to form an Anstalt?

No public deed is required for the formation itself. The Persons and Companies Act asks for written statutes signed by the founder or founders, and the Office of Justice wants every founder's signature certified. The register then receives a certified copy of the statutes signed by all founders, together with the application.

Who actually forms the Anstalt and files it?

A licensed Liechtenstein trustee, named in your engagement letter, forms the Anstalt and files the application, because forming legal persons for others is a reserved trustee activity. VCS prepares the file, collects the documents and coordinates. The law also entitles the Repräsentant and notaries to file the application.

What does an Anstalt formation cost?

The official register fee for a new Anstalt is CHF 700, plus surcharges and per-entry fees as in the table above. A 1 % formation levy on the capital, with a general CHF 1 million threshold (Freigrenze), applies only where Swiss stamp-duty law does not. Our fee and the partner's fee are on request.

What is the minimum capital, and how must it be paid in?

CHF 30,000 without shares, CHF 50,000 with shares, also in euro or US dollar. PGR Art. 122(2) and the Merkblatt 06/2025 say the minimum is paid in full. PGR Art. 537(2) no. 2 speaks of a declaration of at least half; the Wegleitung 01/2021 asks for a declaration on the payment. Both stand; your partner confirms which applies.

Can the Anstalt open a bank account?

That is the bank's own decision, and we cannot promise it. Banks set their own due-diligence questions on the founder, the beneficial owners and the planned activity. We prepare the documents the bank asks for and coordinate them with the licensed trustee, but we guarantee no account.

Can one person form an Anstalt alone, and what changes with shares?

Yes, one founder is enough under PGR Art. 535(3). Shares, called Anstaltsanteile, exist only where the statutes provide for them. Where the capital is divided into shares, the minimum is CHF 50,000 for the whole capital, not per share, and each change of shares is entered in the register.

What is the difference between an Anstalt and a Stiftung?

An Anstalt can be foundation-like, with no members and no shares, or built like a corporation. The holders of the founder's rights form its supreme body unless the statutes hand its powers to the board, as they usually do in a foundation-like Anstalt, and the statutes name the beneficiaries. Which form fits is decided with the licensed partner.

How does an Anstalt differ from an AG or a GmbH, and can I convert?

By default an Anstalt has no shareholders, and shares exist only as its statutes provide, while an AG or GmbH is built on shares. An existing AG or GmbH can be converted into an Anstalt under PGR Art. 550(3). We route any conversion to the licensed partner.

Who owns an Anstalt, and who benefits?

There are no shareholders by default. The founder's rights are held, and they can be assigned, transferred and inherited, but not pledged. The statutes name who benefits from the Anstalt and its profits; until third parties are named, the holder of the founder's rights is presumed to be the beneficiary.

Is the founder liable for the Anstalt's debts?

Only the Anstalt's assets answer for its debts under PGR Art. 548(1). The founder owes the contributions provided for as dedicated assets. The statutes may add a duty of further contributions or a limited liability, and the organs answer under the general liability rules. We promise no asset-protection result.

Do I need a qualified board member or a local representative?

A commercially inactive Anstalt, and normally a holding, needs a managing board member who meets PGR Art. 180a, unless an Art. 180a(3) exception applies. A Repräsentant is also appointed: an EEA national resident in Liechtenstein or a domestic legal person, or a domestic service address with Government consent.

Does the Anstalt appear in the beneficial-owner register?

Yes, in Annex 1, unless Annex 2 covers it, as for foundation-like Anstalten. The report is due within 30 days of the register entry. Since the cyberattack of 30 July 2026, access to the register is limited: from 5 October 2026 users identify in person in Vaduz, and deadlines that cannot be met because of the limited access remain suspended.

What taxes does an Anstalt pay?

Income tax is 12.5 % of taxable net income, with a minimum of CHF 1,800, subject to the Art. 62(3) exception. A private asset structure owes only the minimum tax under the Art. 64 conditions. Distributions of foundation-like Anstalten are exempt as the statute provides. No tax result is promised.

Can an Anstalt hold shares or assets, and is that a commercial business?

Yes, it can hold assets and participations. Holding them is not a commercial business unless the scale requires commercial bookkeeping, so a holding Anstalt normally needs the qualified Art. 180a board member. An exception applies where a special act requires a managing director or an authority supervises the entity.

In what language are the documents filed?

Register entries are made in German. Supporting documents may be filed in another language, but where that hinders third parties' inspection, the Office of Justice may require a certified translation. We plan German versions of the documents where a translation may be asked for, so the file is not held up.
